  • Separation & Migration – Led the third-party vendor workstream, negotiating over 700 vendors to prepare for lift/shift of infrastructure from Seller into Buyer's cloud environment. Advised on key application migration areas such as HRIS, general ledger ERP, accounts payable, enterprise risk management, third-party risk onboarding, investment accounting, trade and securities processing, middle and back-office portfolio accounting, market data utilization, distribution systems migration, and security master migration.

  • Carve Out and Stand-Up – Prior to acquisition of first policy block. Led the workstreams across real estate, branding, human resources, general ledger conversion, and corporate insurance. Negotiated all key third-party vendor contracts including market data, accounting, HRIS, and business process outsourcing.
     

  • Separation and Migration – Led the third-party vendor workstream, negotiating over 700 vendors to prepare for lift/shift of infrastructure from Seller into Buyer's cloud environment. Advised on key application migration areas such as HRIS, general ledger ERP, accounts payable, enterprise risk management, third-party risk onboarding, investment accounting, trade and securities processing, middle and back-office portfolio accounting, market data utilization, distribution systems migration, and security master migration. 
     

  • Streamline and Optimize – Led analysis of dollar cost per policy of processing to optimize spend across vendors, trade processing, investment accounting, real estate and staff.

  • Due Diligence – Reviewed Quality of Earnings, built bottoms-up cost models for one-time and run-rate costs, met with target management, assessed and estimated carve-out timeframe and costs. Drafted anticipated TSA services at Seller’s request.
     

  • Carve Out and Stand-Up – Led the stand-up of all technology and facilities for all services excluded from the TSA in preparation for a timely closing. Global remit and functional areas included branding and marketing, human resources with full benefits and payroll, corporate insurance, general ledger with accounts payable, vendor contracting team with third party risk, email surveillance and compliance, legal, intercompany transfer pricing agreements, cyber security defense, enterprise risk management, etc, all with a regulatory compliance overlay. Ensured stand-up was timely and cost-effective. Negotiated TSA legal document as well as schedule of services and pricing. Led team of outside counsel through negotiation of over 200 key third-party vendor contracts to accomplish the stand-up, within the framework of a cloud-first and SaaS technology strategy. Worked with CFO to establish go-forward one-time cost and run-rate cost budgets. Key third party partners included outside counsel, top-tier consultants, and a leading offshore technology value-added reseller.
